1. Acceptance of the Terms
By signing up or using HIVA Nexus you accept these terms. If you do so on behalf of a company, you represent that you have authority to bind it.
If you do not agree with any of these terms, do not use the service.
2. Service Description
HIVA Nexus is a multi-tenant SaaS platform for software lifecycle management, assisted by artificial intelligence. It supports drafting artifacts from configurable templates, maintaining versioned immutable official versions, analyzing the impact of changes over a knowledge graph, and querying project information through hybrid search.
The service is hosted on Microsoft Azure, integrates Entra External ID for identity, and supports Bring-Your-Own-Key (BYOK) for AI provider keys.
3. Registration and Account
To use the service you must create an account tied to a company (tenant). Authentication runs through Microsoft Entra External ID; HIVA Nexus does not store passwords.
You are responsible for keeping your credentials confidential and for all activity under your account. Notify us immediately of any unauthorized use.
4. Acceptable Use
When using HIVA Nexus you agree not to:
- Engage in illegal activity or infringe third-party rights, including intellectual property.
- Upload malicious content, spam or harmful material.
- Attempt to access, alter or exfiltrate data of other tenants or users.
- Reverse-engineer, decompile or attempt to bypass the multi-tenant isolation mechanisms.
- Deliberately overload the infrastructure or evade contractual quotas and limits.
5. Plans, Billing and Payments
Plans and pricing will be published at the close of the pilot phase. During the MVP, access is by invitation and governed by individual agreements with each customer.
Once recurring billing is available, payments are charged in advance, are non-refundable except as required by law, and applicable taxes are added. Non-payment may result in service suspension.
6. Intellectual Property
HIVA Nexus, including its software, brand, symbol, design and documentation, is the property of Kernel Servicios en Informatica S.A. de C.V. and its licensors. These terms grant no rights over the platform.
Content uploaded or generated by a tenant within the service (artifacts, official versions, comments) remains the tenant's property. HIVA Nexus only processes it to deliver the service.
7. Artificial Intelligence
Outputs generated by AI models are probabilistic and may contain errors, omissions or biases. HIVA Nexus presents those outputs as proposals; every decision and approval is made by authorized people within the tenant.
The tenant may operate with the platform's default keys or bring its own (BYOK). Under BYOK, the AI provider's invoices, limits and use policies are the tenant's responsibility.
8. Service Availability
We make reasonable efforts to keep the service available 24/7. Scheduled maintenance windows, third-party provider incidents and events outside our control may occur. During the MVP no contractual SLA is offered; general availability will include a written SLA.
9. Limitation of Liability
To the extent permitted by applicable law, HIVA Nexus will not be liable for indirect, incidental, special or consequential damages, or lost profits. Aggregate liability is limited to the amount actually paid by the tenant in the 12 months prior to the event giving rise to the claim.
10. Indemnification
The tenant will indemnify and hold HIVA Nexus harmless against third-party claims arising from its content, its use of the service in breach of these terms, or violation of applicable law.
11. Termination
We may suspend or terminate access for material breach, fraud, non-payment or risk to the platform. The tenant may cancel its account at any time.
After termination, the clauses that by their nature should survive remain in force, including confidentiality, intellectual property and limitation of liability.
12. Modifications
We may modify these terms to reflect changes in the service or in regulation. Material changes are announced at least 15 days in advance. Continued use after the effective date constitutes acceptance.
13. Governing Law and Jurisdiction
These terms are governed by the laws of the United Mexican States. Any dispute will be submitted to the competent courts of Mexico City, expressly waiving any other venue.
